Rural Solutions – Terms & Conditions 

Effective Date: February 13th, 2026 

Applies To: All clients of Rural Techs LLC d/b/a Rural Solutions 

Purpose 

These Terms & Conditions describe how Rural Solutions conducts business with its clients. They apply to all services, projects, and purchases unless a written proposal or managed services agreement (MSA) states otherwise. 

Relationship‑specific terms — including service scope, term length, termination rights, service levels, data protection obligations, and liability limits — are defined in the applicable proposal or MSA

If there is a conflict, the executed proposal or MSA controls

1. Definitions 

  • “Client” means the organization or individual engaging Rural Solutions. 

  • “Services” means IT services, consulting, managed services, and related work described in an applicable proposal. 

  • “Goods” means hardware, software, licenses, or other products procured on Client’s behalf. 

  • “Business Hours” are Monday–Thursday 8:00 a.m.–5:00 p.m. and Friday 8:00 a.m.–12:00 p.m. Eastern Time, excluding Vermont public holidays. 

2. Quotes, Orders, and Acceptance 

  • Quotes are valid for seven (7) days unless stated otherwise. 

  • A quote becomes binding once accepted in writing (including email or electronic approval). 

  • Changes requested after acceptance may affect pricing or timelines. 

3. Fees, Expenses, and Payment 

  • Fees and rates are defined in the applicable proposal or rate schedule. 

  • Invoices are due according to the payment terms stated on the invoice. 

  • Approved out‑of‑pocket expenses (such as travel or shipping) may be billed separately. 

  • If payment is materially overdue, Rural Solutions may suspend services after providing reasonable notice. 

4. Procurement and Third‑Party Products 

  • Rural Solutions does not manufacture hardware or software and relies on third‑party vendors. 

  • Delivery dates and availability are estimates based on vendor information. 

  • Manufacturer warranties apply to goods where offered; Rural Solutions will assist with coordination when reasonable. 

5. Risk of Loss and Acceptance (Goods) 

  • Risk of loss remains with Rural Solutions until goods are delivered and accepted by the Client. 

  • Client should inspect delivered goods promptly and report any issues within a reasonable time. 

6. Client Responsibilities 

  • To allow Rural Solutions to provide services effectively, Client agrees to: 

    • Provide reasonable access to systems, personnel, and facilities; 

    • Maintain appropriate backups unless otherwise agreed in writing; 

    • Ensure proper licensing and authorized use of software; 

    • Designate authorized contacts for service requests and approvals. 

7. Confidentiality 

Each party agrees to protect the other party’s confidential information using reasonable care and to use such information solely in connection with discussions, services, or business activities involving Rural Solutions.

Confidential information does not include information that is publicly available, independently developed without reference to the other party’s confidential information, or required to be disclosed by law or lawful government request.

These confidentiality obligations apply during and after any engagement between the parties.

8. Service Nature and Professional Judgment 

Client acknowledges that IT services involve professional judgment, troubleshooting, and problem‑solving that may require trial and error. 

Rural Solutions will perform services in a professional and workmanlike manner consistent with industry standards but does not guarantee specific outcomes unless expressly stated in writing. 

9. Limitation of Liability 

To the extent permitted by law: 

  • Rural Solutions is not responsible for indirect or consequential damages. 

  • Liability, if any, is governed by the applicable proposal or MSA. 

Nothing in these Terms limits rights that cannot be limited under applicable law. 

10. Insurance 

Rural Solutions maintains commercially reasonable insurance coverage appropriate to its services and will provide certificates upon reasonable request. 

11. Force Majeure 

Neither party is responsible for delays or failures caused by events beyond reasonable control, including natural disasters, widespread outages, or actions of third‑party providers. 

12. Changes to These Terms 

These Terms & Conditions may be updated from time to time. Updated versions will be posted on the Rural Solutions website and apply prospectively. 

Material changes affecting an active managed services relationship will be addressed through the applicable proposal or MSA. 

Continued use of services after the effective date of an updated version constitutes acceptance of the revised Terms & Conditions.

13. Governing Law 

These Terms are governed by the laws of the State of Vermont.
